Special Resolution

Special Resolution (requiring at least 2/3s of the votes cast): That Section 8.1 of the Bylaws of the BC Humanist Association be amended to strike out “8” and insert “10”, and by inserting “as determined by directors’ resolution and elected or appointed in accordance with these Bylaws.”

Current language:

Number of directors on Board
8.1 The Society must have no fewer than 5 and no more than 8 directors.

Proposed language:

Number of directors on Board
8.1 The Society must have no fewer than 5 and no more than 10 directors, as determined by directors’ resolution and elected or appointed in accordance with these Bylaws.

Rationale: Allowing the expansion of the Board to ten members provides the necessary capacity to support our growing committee workload without overburdening individual directors. This amendment also grants the Board the flexibility to adjust its size by resolution to meet the Association's evolving operational needs. The Board for 2026-2027 will remain a maximum of eight directors.
